Agreement to Terms
These Terms of Service ("Terms") are a binding agreement between you and Simplify Studio ("we," "our," or "us") for your use of our AI-powered Shopify store builder, including our website, APIs, and related services (collectively, "Simplify Studio" or the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity.
Eligibility and Account
You must be at least 16 years old and able to form a binding contract to use Simplify Studio. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete registration information and notify us promptly of any unauthorized use.
Use of the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Simplify Studio for building and managing Shopify stores in accordance with these Terms and any applicable plan or usage limits. You agree to:
- Use the Service only for lawful purposes and in compliance with applicable laws, Shopify's terms, and third-party rights.
- Not misuse the Service (e.g., attempt to gain unauthorized access, interfere with the Service, or use it to harm others or their stores).
- Not resell, sublicense, or commercially exploit the Service or our AI outputs in a manner that competes with Simplify Studio or violates these Terms.
- Ensure that any content or data you provide (including store content and product information) does not infringe intellectual property or other rights and that you have the right to use it with our AI and Shopify.
Shopify and Third-Party Services
Simplify Studio integrates with Shopify and may rely on other third-party services. Your use of those services is subject to their respective terms and policies. We are not responsible for Shopify's or any third party's actions, availability, or policies. You are responsible for maintaining a valid Shopify account and any required subscriptions.
AI-Generated Content
Our AI may generate store designs, copy, and other content for you. You remain responsible for reviewing and approving all content before publishing it to your store. We do not guarantee that AI-generated content is error-free, non-infringing, or suitable for your business. You use such content at your own risk.
Your Content and Data
You retain ownership of content and data you submit to Simplify Studio. You grant us a worldwide, royalty-free license to use, store, and process that content and data as necessary to provide and improve the Service (including powering our AI features), in line with our Privacy Policy. We do not claim ownership of your store content or products.
Our Intellectual Property
Simplify Studio, including our software, design, branding, and documentation, is owned by us or our licensors. Except for the limited license above, these Terms do not grant you any right to our intellectual property. You may not copy, modify, or create derivative works of the Service or use our trademarks without written permission.
Fees and Payment
Some parts of the Service may be subject to fees as described on our website or in your account. You agree to pay all applicable fees when due. Fees may change with notice where required by law. Refunds are handled according to our stated refund policy at the time of purchase.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL MEET YOUR EXPECTATIONS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE (AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER).
Indemnification
You agree to indemnify and hold harmless Simplify Studio and its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content or data, your violation of these Terms, or your violation of any third-party rights or applicable law.
Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason with notice where practicable. You may stop using the Service and close your account at any time. Upon termination, your license to use the Service ends. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
Changes to the Service and Terms
We may change the Service or these Terms from time to time. We will post updated Terms on this page and update the "Last updated" date. Material changes may be communicated by email or in-product notice. Continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Service.
General
These Terms, together with our Privacy Policy and any other policies we reference, constitute the entire agreement between you and Simplify Studio regarding the Service. Our failure to enforce any right or provision does not waive that right or provision. If any provision is held invalid, the remaining provisions remain in effect. These Terms are governed by the laws of the jurisdiction specified in our policies or on our website, without regard to conflict of law principles.
